This page outlines the terms of Rock of Eye’s Referral Partner Program. By participating, you agree to the terms below.

• 1. PURPOSE
  The Company authorizes the Referral Partner to introduce potential Clients to Rock of Eye. Referral Partner shall receive referral commissions based on successful referrals who become paying Clients.

 

• 2. DEFINITIONS
  • Churn Rate: The rate at which Clients cease using the Company's services, calculated annually.
  • Client: A business or individual introduced by the Referral Partner who subscribes to Rock of Eye’s services.
  • Commission: Payment to the Referral Partner based on revenue collected from Qualified Referrals.
  • Known Prospect: Any individual or business that is already recorded in Rock of Eye’s CRM system, is in active discussions with Rock of Eye, or has previously engaged with Rock of Eye prior to the Referral Partner’s submission.
  • Lead Submission: Submission of potential Clients via Rock of Eye’s designated platform (RoE Partner Portal).
  • Lifetime Commission: means commission payable for the duration that a referred Client remains active on the Rock of Eye platform, subject to performance criteria and agreement terms.
  • Qualified Referral: A Client approved by Rock of Eye after verification, who is not already known to the Company.

 

• 3.REFERRAL PROCESS
• 3.1 Referral Partner shall submit Leads via Rock of Eye’s RoE Partner Portal.
• 3.2 A referral will be considered valid if:
• 1. The Client is not an existing Rock of Eye Known Prospect;
  2. The Client completes onboarding;
  3. The Client remains active beyond any trial period.
• 3.3 Approved referrals are valid for commission attribution for 6 months from submission.

 

• 4. COMMISSION STRUCTURE
• 4.1 Referral Partner shall receive:
• • Years 1–5 per referred tailor: 10% of Rock of Eye fees paid.
  • Years 6+ per referred tailor: 5% lifetime commission, conditional on performance.
• 4.2 Commission is payable monthly in arrears on the 15th of each month.
• 4.3 No commission is payable on one-off onboarding fees.
  Minimum Referrals & Annual Performance Targets
  • Year 1: 10 new tailoring clients.
  • Year 2: 30 cumulative new tailoring clients.
  • Year 3: 50 cumulative new tailoring clients.
  • Years 4–10: At least 5 new tailoring clients each year to retain lifetime commission.
  • Annual churn on referred clients to remain at or below 5%.

 

• 5. ONGOING ELIGIBILITY FOR COMMISSIONS

  To maintain eligibility for ongoing commissions, Referral Partner must:

  • Successfully refer and onboard at least 5 new tailoring clients per year, or
  • Ensure newly referred clients have a combined annual turnover of at least USD $2,250,000.

  Failure to meet these thresholds for two consecutive calendar years will result in:

  • Referral commissions reverting to a 3-year term for all newly referred clients.
  • All previously referred clients (including prior cohorts) will convert to a 3-year commission term from their original onboarding date.

  Commission Termination Clause

  If the Referral Partner fails to meet the minimum annual targets (5 new tailoring clients or $2.25M in new client turnover) for two consecutive years, Rock of Eye reserves the right to:

  • Revoke all lifetime commission rights, including for prior referrals.
  • Retroactively apply a maximum 3-year commission cap to all clients.
  • Cease commissions after the third year unless otherwise agreed in writing.

 

• 6. OBLIGATIONS OF REFERRAL PARTNER
• 6.1 Referral Partner shall:
• 1. Submit Leads with consent;
  2. Refrain from making commitments on behalf of Rock of Eye;
  3. Use only approved marketing materials;
  4. Comply with applicable laws and confidentiality obligations.
• 6.2 Referral Partner is not required to manage Clients post-referral, nor meet any sales targets beyond the agreed referral numbers.

 

• 7. TERM AND TERMINATION
• 7.1 This Agreement is valid for 12 months, automatically renewing yearly.
• 7.2 Either Party may terminate with 30 days’ written notice.
• 7.3 Commissions on Qualified Referrals before termination will continue to be paid for the agreed period, subject to the performance clauses above.

 

• 8. CONFIDENTIALITY

  Referral Partner agrees to keep confidential any non-public information about Rock of Eye and its Clients

 

• 9. INTELLECTUAL PROPERTY

  All intellectual property remains with Rock of Eye. Referral Partner is granted a limited right to use Rock of Eye branding solely for referral purposes.

 

• 10. INDEPENDENT CONTRACTOR

  Referral Partner acts as an independent contractor. Nothing in this Agreement creates an employer-employee, agency, or joint venture relationship.

 

• 11. GOVERNING LAW

  This Agreement shall be governed by the laws of Queensland, Australia.
